Terms of Service
Last updated: October 11, 2026
This English version is provided for convenience. If it differs from the Traditional Chinese version, the Traditional Chinese version prevails.
Article 1. Application
These Terms of Service (the "Terms") are an agreement between Weitude Technology Co., Ltd. (the "Company", "we") and the seller who runs a shop using the Sopeak service (the "Service", "you"). By registering an account or using the Service, you are deemed to have read, understood and agreed to all of these Terms and the Privacy Policy.
Article 2. Accounts
- You must register with true and accurate information and keep it up to date.
- You are responsible for safeguarding your account and password. Any action taken through your account is deemed to be your own, as is any action taken by staff you authorize.
- Where necessary to provide customer support, troubleshoot, or keep the Service secure, we may access your account as described in the Privacy Policy.
Article 3. Plans, fees, payment and refunds
- Plan features and prices are as published on our website.
- We may change plan features, limits and prices, and will notify you by in-service notice or email before the change takes effect. A change does not affect a billing period you have already paid for.
- A yearly plan is priced at ten months of the monthly fee and charged once for the whole year.
- When you upgrade within the same billing cycle, we charge the difference for the rest of the current period at once, and the new plan applies once that payment succeeds. Switching from monthly to yearly starts a new yearly cycle that day, charged at the yearly price less the unused value of the month. A downgrade, or a switch from yearly to monthly, takes effect at the end of the current period, with no refund of the difference.
- A paid plan renews at the plan and price that match the number of orders in the billing cycle before. If your orders pass your plan's limit, the next cycle is billed at the plan that covers them. If they fall below it, the next cycle is billed at the lower plan unless you have turned automatic downgrade off, and never below the plan that your active staff accounts and the features you used require. The first time a shop passes its plan's limit, its plan is not raised. A yearly plan is checked each month of the year: when a month's orders pass the plan's limit, we charge the upgrade difference for the remaining period seven days after notifying you, and the yearly renewal follows the last month's orders. Each plan's order limit and price are as published on our website and as shown when you add your payment method; we notify you by email before the amount changes.
- If a renewal charge fails, we retry within seven days of the first failed charge. If it is still unpaid after that, your account moves to the free plan and your data is kept.
- You may cancel at any time in Settings → Subscription. We start no further charges; the period you have paid for runs to its end, after which your account moves to the free plan and your data is kept. A charge already in progress when you cancel that still goes through is refunded in full once we have checked it.
- Except where the law provides otherwise, fees paid are not refunded on cancellation or when you stop using the service, and unused time is not refunded pro rata.
- A small charge taken to verify your card (such as NT$1) is refunded in full automatically. A duplicate or mistaken charge is refunded in full once we have checked it; email contact@sopeak.tw. How soon a refund appears depends on your card issuer.
Article 4. Your obligations
- You must ensure that the goods you sell, the content you publish and your transactions comply with the law and do not infringe anyone's rights.
- You must collect, process and use your End Customers' personal data lawfully, and give them yourself the notice the law requires.
- Transactions, returns, exchanges and consumer disputes between you and your End Customers are yours to handle and your responsibility. We provide a software service and are not a party to those transactions.
- When you use third-party services such as Instagram, payment or logistics providers, you must also comply with their terms and policies.
Article 5. Ownership and use of data
- Product data, order data and End Customer lists that you create in the Service belong to you.
- You agree that we may use that data to provide, maintain and improve the Service, and may use statistics derived from it after de-identification for analysis, research and commercial purposes. De-identified data cannot identify a specific individual or a specific shop.
- You authorize us to display your shop name, logo and published product information within the Service and in our marketing materials. You may ask us by email at any time to stop displaying them in marketing materials.
- After your account ends, we may retain the related data for as long as the law requires or our business needs, and will then delete or de-identify it. Before termination, you may request a copy of your data by email.
Article 6. Changes, suspension and termination
- We may add, change or discontinue all or part of the Service at any time. Before discontinuing a main feature you have paid for, we will give reasonable notice.
- We may suspend or terminate all or part of your account without prior notice if: (a) you breach these Terms or the law; (b) your account is involved in fraud or unlawful transactions, or raises a security concern; (c) a judicial or competent authority requires it; or (d) system maintenance, updates or force majeure require it.
- You may stop using the Service at any time.
Article 7. Beta services
- Features provided during closed or open beta periods ("Beta Services") are provided as is. We may change, limit or end all or part of the Beta Services at any time.
- During the beta, our staff may sign in to your account to help with setup, import data, troubleshoot, and observe how the Service is used, in order to improve it.
- We may use any comments and feedback you give about the Beta Services free of charge.
Article 8. Intellectual property
The intellectual property in the Service's software, interface design, trademarks and other content belongs to the Company or its licensors. Without our written consent, you may not reproduce, adapt, reverse engineer or otherwise exploit them.
Article 9. Third-party services
Parts of the Service depend on third parties, including Meta (Instagram), payment, logistics and cloud providers. If a third party changes or ends its service, restricts your account, or suffers an outage, we may change or stop the related features and are not liable for compensation.
Article 10. Provision of the Service and limitation of liability
- The Service is provided as is. We do not warrant that it will be uninterrupted, error-free, or meet your particular needs.
- Except where caused by our intent or gross negligence, we are not liable for indirect or consequential damages, or for loss of business or revenue, arising from your use of or inability to use the Service.
- Except where caused by our intent or gross negligence, our total liability for the Service is limited to the service fees you actually paid us in the twelve months before the damage occurred.
Article 11. Indemnification
If your breach of these Terms or the law, or a dispute between you and an End Customer or other third party, causes us to face a claim, penalty or loss, you must compensate us for all resulting losses and costs, including reasonable attorney fees.
Article 12. Amendments
We may amend these Terms and will notify you by in-service notice or email before the amendment takes effect. Continuing to use the Service after it takes effect means you accept the amended Terms. If you do not agree, you must stop using the Service.
Article 13. Notices
We may give you notice by in-service announcement, push notification, or email to your registered address. Notice is deemed delivered when it is published or sent.
Article 14. Governing law and jurisdiction
These Terms are governed by the laws of the Republic of China (Taiwan). The parties agree that the Taiwan Taipei District Court has jurisdiction as the court of first instance over any dispute arising from these Terms.
Article 15. Miscellaneous
- If any provision of these Terms is held invalid, the remaining provisions remain in effect.
- Our failure or delay in exercising any right under these Terms is not a waiver of that right.
- Matters not covered by these Terms are governed by the applicable laws of the Republic of China (Taiwan) and the rules we publish on the Service.
